TL;DR:

  • SOL Strategies is acquiring Darklake's ZK execution stack, continuing consolidation in Solana's privacy infrastructure.
  • Darklake's Zyga system targets MEV resistance and private transaction execution on Solana.
  • The deal marks SOL Strategies' move from treasury management and validators into active technology development.
  • The $1.2M deal is mostly equity ($1M in shares, $200K cash), aligning incentives while limiting dilution.
  • Next steps: closing the deal and bringing Darklake's team on board to set the product roadmap.

SOL Strategies Makes a Privacy Play

SOL Strategies, a publicly traded company focused on the Solana ecosystem, has agreed to buy the assets of Darklake Labs. The deal, announced April 7, 2026, brings zero-knowledge privacy technology to SOL Strategies' infrastructure portfolio—specifically targeting front-running vulnerabilities in DeFi.

SOL Strategies (NASDAQ: STKE; CSE: HODL) is paying $1.2 million for Darklake's assets: $200,000 in cash and $1 million in common shares. The share price is based on the five-day volume-weighted average on the Canadian Securities Exchange before closing, with a four-month lock-up. Darklake, based in Singapore, built Zyga, a Solana-native zero-knowledge proof system for private transaction execution that can block sandwich attacks and front-running.

The companies didn't disclose a post-acquisition valuation. The deal still needs to clear standard closing conditions, and the press release notes the usual risks: market conditions, regulatory changes, and so on.

Darklake placed second in the DeFi track at the Solana Radar Global Hackathon and went through the Colosseum Accelerator. The team also has research partnerships with two Brazilian universities and a pending patent on their ZK architecture.

Darklake's Team Joins SOL Strategies

Darklake's founders and key people will join SOL Strategies, adding to the company's engineering and research capacity. That includes CEO and technical founder Vitor Py Braga (previously at Meta and IBM), COO Amber Hales (formerly in compliance roles at Coinbase and Coincover), and Tiago Alves, who heads ZK research and teaches at a university. Alves will lead an expanded R&D function.

Michael Hubbard, SOL Strategies' CEO, said in the release: "Privacy is a core functionality needed to bring global finance on-chain and owning this technology continues our mission to support the Solana Economy as we take another step forward towards a more active technology development role."

The acquisition fits with SOL Strategies' existing business. As of March 2026, the company held over 533,000 SOL in its treasury (about $43.9 million at early April prices) and runs validator services managing nearly 3.8 million SOL in delegated assets. Recent deals with Balance for institutional staking and ARK Invest's Digital Asset Revolutions Fund show the company's push into enterprise Solana infrastructure.

| Detail | Description | |--------|-------------| | Project | Darklake Labs | | Sector/Category | Zero-Knowledge Privacy Tech on Solana | | Funding Round | Asset Acquisition (M&A) | | Amount Raised | $1.2 million ($200,000 cash + $1 million in shares) | | Valuation | Undisclosed | | Lead Investor | Sol Strategies (NASDAQ: STKE) | | Notable Participants | N/A (Sole acquirer) | | Disclosure Gaps | No timeline for integration or specific breakdown of how funds will be used beyond general R&D |

The equity-heavy structure limits dilution for SOL Strategies while giving the Darklake team skin in the game. The $200,000 cash comes from existing resources. On announcement day, STKE shares fell 3.19% to $0.8900 on volume of 118,179 shares, below the 20-day average.

  • Why it matters: The deal brings Zyga's privacy tools in-house as competition in on-chain privacy heats up. The target: MEV resistance and private execution on Solana.
  • Team additions: The incoming Darklake members have backgrounds in engineering, compliance, and ZK research—filling gaps without a separate hiring push.
  • Ecosystem context: Darklake's hackathon success and accelerator involvement show continued interest in privacy-focused projects building on Solana.
  • Bigger picture: This adds to SOL Strategies' treasury and validator growth (CAD$49.97 million in SOL holdings, 2.18 million SOL under delegation).

The acquisition shows SOL Strategies moving from treasury management into active tech development. Solana is competing with Ethereum's ZK-heavy layer-2 ecosystem for institutional adoption, and privacy could be a differentiator. Projects like Elusiv and Light Protocol are already working in this space, but Solana's speed could give Zyga an edge if the integration goes well.

Bottom line: The deal signals consolidation is picking up in Solana's privacy infrastructure space.
